1. Acceptance of Terms

By accessing or using TCF — The Content Factory ("TCF", "the Service"), operated by MACHAAO, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

TCF is an AI-powered content creation platform that enables users to generate images, videos, infographics, and social media content using artificial intelligence models. The Service includes:

• AI image generation from text descriptions
• AI video generation from images
• Content enhancement and prompt engineering
• Session management and creative history
• Template creation and management
• Asset library for reference images
• Video project storyboard and composition

3. Account Access

3.1 Eligibility

You must be at least 13 years old to use TCF. Access is granted at the discretion of the platform administrators. We reserve the right to approve, deny, or revoke access at any time.

3.2 Authentication

TCF uses Google Sign-In for authentication. You are responsible for maintaining the security of your Google account. We are not liable for any unauthorized access resulting from compromised credentials.

3.3 Account Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, abuse of the Service, or extended inactivity.

4. Acceptable Use

You agree to use TCF only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create content that infringes on intellectual property rights of others
• Generate deepfakes, misleading impersonations, or deceptive content about real individuals
• Use the Service to create content depicting minors in any inappropriate context
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Automate or script interactions with the Service without authorization
• Resell, redistribute, or commercially exploit the Service without written permission
• Attempt to circumvent usage limits, credit systems, or access controls
• Upload malicious files, viruses, or content designed to harm the Service or other users
• Impersonate another person or entity

5. AI-Generated Content

5.1 Ownership

You retain rights to content you create using TCF, subject to the terms of the underlying AI model providers. However, AI-generated content may not be eligible for copyright protection in all jurisdictions.

5.2 Responsibility

You are solely responsible for the content you create, publish, or distribute using TCF. We do not endorse, verify, or take responsibility for AI-generated content. You must ensure your use of generated content complies with applicable laws and third-party rights.

5.3 AI Limitations

AI-generated content may contain inaccuracies, biases, or unintended elements. You should review all generated content before use. We do not guarantee the accuracy, quality, or suitability of AI-generated content for any particular purpose.

5.4 Content Safety

TCF implements content safety measures that may block certain prompts or generated content. These measures are automated and may not be perfect. We reserve the right to refuse generation of any content at our discretion.

6. Credits and Costs

TCF operates on a credit-based system. Each content generation action incurs a cost deducted from your credit balance.

• Credits are allocated by administrators and are non-transferable
• Credit balances have no cash value and cannot be exchanged for money
• We reserve the right to modify pricing and credit allocations at any time
• Unused credits may expire if your account is terminated
• Cost estimates are approximate; actual costs are calculated after generation

7. Intellectual Property

7.1 Service IP

TCF, including its design, code, features, and documentation, is the intellectual property of MACHAAO. You may not copy, modify, distribute, or create derivative works based on the Service without written permission.

7.2 User Content

You retain ownership of text prompts, uploaded images, and other content you provide. By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service.

7.3 AI-Generated Output

Ownership of AI-generated content is subject to the terms of the applicable AI model provider. You are responsible for understanding and complying with those terms.

8. Privacy

Your use of TCF is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of AI-generated content
• Warranties that content generated will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACHAAO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Damages arising from AI-generated content, including inaccuracies or harmful content
• Damages arising from unauthorized access to your account
• Service interruptions or data loss

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless MACHAAO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, publish, or distribute using the Service

12. Third-Party Services

TCF integrates with third-party services including OpenRouter, Google, and the MACHAAO platform. Your use of these services is subject to their respective terms and policies. We are not responsible for the practices or availability of third-party services.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation first.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will update the "Last updated" date at the top of this page. Material changes may be communicated through the Service. Your continued use after changes constitutes acceptance.
